Please read these Terms of Service ("Terms," "Terms of Service") carefully before using the website and services operated by PieceData ("us," "we," or "our").

Your access to and use of our services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use our services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access our services.

1. Services

PieceData provides data infrastructure engineering services, including but not limited to data warehousing, pipeline automation, cloud architecture design, data migration, real-time analytics, and data governance consulting.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of our services.

2. Client Obligations

When engaging our services, you agree to:

  • Provide accurate and complete information necessary for us to perform our services
  • Maintain the confidentiality of any account credentials or access information
  • Notify us promptly of any unauthorized use of your account or any other security breach
  • Comply with all applicable laws and regulations
  • Not use our services for any unlawful or prohibited purpose
  • Not interfere with or disrupt our services or servers

3. Intellectual Property

Our services and their original content, features, and functionality are and will remain the exclusive property of PieceData and its licensors. Our services are protected by copyright, trademark, and other laws.

Unless otherwise agreed in writing, any work product created specifically for you as part of our services shall be owned by you upon full payment of all applicable fees. We retain the right to use general knowledge, skills, and experience gained during the engagement.

4. Confidentiality

We agree to maintain the confidentiality of any proprietary or confidential information you provide to us in connection with our services. We will not disclose such information to third parties except as necessary to perform our services or as required by law.

This confidentiality obligation shall not apply to information that: (a) is or becomes publicly available through no fault of ours; (b) was rightfully in our possession before disclosure; (c) is independently developed by us without use of your confidential information; or (d) is rightfully obtained from third parties without restriction.

5. Payment Terms

Payment terms will be specified in the applicable service agreement or statement of work. Unless otherwise agreed:

  • All fees are due within 30 days of invoice date
  • Late payments may be subject to interest at the rate of 1.5% per month
  • You are responsible for all taxes associated with our services, excluding taxes based on our income
  • We reserve the right to suspend services for accounts with overdue balances

6. Limitation of Liability

In no event shall PieceData, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use our services
  • Any conduct or content of any third party on our services
  • Any content obtained from our services
  • Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claims arising out of or related to these Terms or our services shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

7. Disclaimer of Warranties

Our services are provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. We make no warranty regarding the results that may be obtained from the use of our services.

8. Indemnification

You agree to defend, indemnify, and hold harmless PieceData and its licensees, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from:

  • Your use of and access to our services
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including any intellectual property or privacy right
  • Any claim that your content caused damage to a third party

9. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use our services will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which PieceData is established, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association. The arbitration shall take place in the jurisdiction where PieceData is established.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.

12. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our services and supersede any prior agreements.

13. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of PieceData.
